These Terms of Service govern your use of Prism AI's website and services. By engaging with Prism AI, you agree to be bound by these terms.
By accessing our website or engaging our services, you confirm that you have read, understood, and agree to these Terms of Service. If you do not agree, please do not use our services.
Prism AI provides AI integration consulting services including, but not limited to, AI system design, chatbot development, workflow automation, content systems, and custom AI agent development for businesses. Specific deliverables, timelines, and pricing are defined in individual service agreements.
As a client, you agree to:
Payment terms are outlined in your individual service agreement. Unless otherwise specified, invoices are due within 14 days of issuance. Late payments may result in suspension of services. All fees are non-refundable except as explicitly stated in your agreement.
Upon receipt of full payment, clients own the deliverables built specifically for their business. Prism AI retains ownership of any underlying frameworks, methodologies, tools, or pre-existing intellectual property used in the delivery of services. Prism AI reserves the right to reference the engagement as part of its portfolio unless otherwise agreed in writing.
Both parties agree to keep confidential any non-public information shared during the course of the engagement. This obligation survives termination of the service agreement for a period of two (2) years.
Prism AI's liability to any client shall not exceed the total fees paid in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages arising from the use of our services or AI systems, including lost revenue or data loss.
Either party may terminate a service agreement with 30 days written notice. Prism AI may terminate immediately if a client violates these terms, fails to pay, or engages in conduct that is unlawful or harmful. Upon termination, any outstanding fees for work completed to date remain due.
Our services are provided "as is." Prism AI makes no guarantees regarding specific business outcomes, revenue increases, or performance metrics resulting from AI systems we build. Results depend on many factors outside our control, including how systems are used and maintained after delivery.
These Terms of Service are governed by the laws of the State of Utah, United States. Any disputes shall be resolved in the courts of Utah County, Utah.
We reserve the right to update these terms at any time. Changes will be posted to this page with an updated effective date. Continued use of our services after changes are posted constitutes your acceptance.
